1. Acceptance of Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("Customer," "you," or "your") and VoiceGenix AI ("VoiceGenix," "we," "our," or "us") governing your access to and use of the VoiceGenix platform, website, and all related services (collectively, the "Services"). By accessing or using our Services, creating an account, or clicking "I Agree," you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy.

If you are using the Services on behalf of a business or other legal entity, you represent that you have the authority to bind that entity to these Terms. If you do not have such authority, or if you do not agree with these Terms, you must not access or use the Services.

2. Description of Services

VoiceGenix provides an AI-powered voice agent platform that enables businesses to automate inbound and outbound telephone communications. Our Services include AI voice agent deployment, call routing and handling, appointment scheduling, lead qualification, call transcription and recording, analytics and reporting, and integrations with third-party business tools. The specific features available to you depend on your subscription plan.

We reserve the right to modify, suspend, or discontinue any aspect of the Services at any time, with or without notice. We will make reasonable efforts to notify you of material changes that affect your use of the Services.

3. Account Registration and Responsibilities

To access the Services, you must register for an account and provide accurate, current, and complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account or any other breach of security.

You may not share your account credentials with any third party, create multiple accounts for the purpose of circumventing usage limits, or use the Services in any manner that could damage, disable, or impair our infrastructure. You are solely responsible for all content, data, and communications transmitted through your account.

4. Subscription Plans and Payment

Access to the Services requires a paid subscription. Subscription fees are billed in advance on a monthly or annual basis, depending on the plan you select. All fees are non-refundable except as expressly set forth in these Terms or as required by applicable law. We reserve the right to change our pricing at any time, provided that we give you at least 30 days' advance notice of any price increase.

If your payment fails or your account becomes past due, we may suspend your access to the Services until payment is received. You are responsible for all applicable taxes, and we will charge taxes where required by law. Subscription plans include a specified number of minutes per month. Overages beyond your plan's included minutes will be billed at the applicable overage rate.

5. Acceptable Use Policy

You agree to use the Services only for lawful purposes and in accordance with these Terms. You may not use the Services to engage in any activity that violates applicable federal, state, local, or international laws or regulations; transmit unsolicited commercial communications in violation of applicable law; impersonate any person or entity or misrepresent your affiliation with any person or entity; collect or harvest personal information from other users without their consent; interfere with or disrupt the integrity or performance of the Services; or attempt to gain unauthorized access to any portion of the Services or related systems.

You are responsible for ensuring that your use of the Services complies with all applicable telecommunications laws, including but not limited to the Telephone Consumer Protection Act (TCPA), the Telemarketing Sales Rule, and applicable state telemarketing laws. You must obtain all necessary consents before using our Services to contact individuals.

6. Call Recording and Compliance

Our Services include call recording functionality. You are solely responsible for ensuring that your use of call recording complies with all applicable laws in your jurisdiction and the jurisdictions of the parties you are calling. Many jurisdictions require that all parties to a telephone conversation consent to being recorded. You must implement appropriate disclosures and obtain necessary consents before recording calls.

VoiceGenix provides tools to help you configure call disclosure messages, but the legal sufficiency of those disclosures is your responsibility. We are not liable for any claims arising from your failure to comply with applicable call recording laws.

7. Intellectual Property

The Services and all content, features, and functionality thereof, including but not limited to software, text, graphics, logos, and audio clips, are owned by VoiceGenix and are protected by copyright, trademark, patent, and other intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to access and use the Services for your internal business purposes during the term of your subscription.

You retain ownership of all content and data you provide to us or generate through your use of the Services ("Customer Data"). By providing Customer Data, you grant us a limited license to use, process, and store that data solely as necessary to provide the Services. We will not use your Customer Data for any purpose other than providing and improving the Services.

8. Limitation of Liability

To the maximum extent permitted by applicable law, VoiceGenix shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, loss of data, loss of goodwill, service interruption, or the cost of substitute services, arising out of or in connection with these Terms or the use of the Services, even if we have been advised of the possibility of such damages.

Our total aggregate liability to you for all claims arising out of or relating to these Terms or the Services shall not exceed the total amount paid by you to VoiceGenix in the 12 months preceding the claim.

9. Disclaimer of Warranties

The Services are provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Services will be uninterrupted, error-free, or completely secure. We do not warrant the accuracy, completeness, or usefulness of any information provided through the Services.

10. Termination

Either party may terminate these Terms at any time. You may cancel your subscription at any time through your account settings. Cancellation will take effect at the end of your current billing period, and you will retain access to the Services until that date. We may terminate or suspend your access to the Services immediately, without prior notice, if you breach these Terms or if we are required to do so by law.

Upon termination, your right to use the Services will immediately cease. Sections of these Terms that by their nature should survive termination shall survive, including intellectual property provisions, disclaimers, indemnification, and limitations of liability.

11. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the United States, without regard to conflict of law principles. Any dispute arising out of or relating to these Terms or the Services shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, except that either party may seek injunctive or other equitable relief in any court of competent jurisdiction.
